Terms of Service

Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Chronicle, Inc. ("Chronicle," "we," "us," or "our") governing your access to and use of our platform, website, and services (collectively, the "Service").

By creating an account, accessing the Service, or clicking "I Agree," you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Updates: We may revise these Terms periodically. Continued use of the Service after changes constitutes acceptance of the updated Terms. We will notify you of material changes via email or in-app notice.

Eligibility

You must be at least 13 years of age (or 16 in the European Economic Area) to use the Service. By using Chronicle, you represent and warrant that:

  • You are of legal age to form a binding contract in your jurisdiction
  • You are not barred from using the Service under applicable law
  • If using Chronicle on behalf of an organization, you have authority to bind that organization to these Terms
  • All information you provide is accurate and complete

Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Notify Chronicle immediately of any unauthorized account access at support@chroniclemc.com
  • Use a strong, unique password and enable two-factor authentication where available
  • Not share your account credentials or allow others to access your account
  • Not create accounts through automated means or under false pretenses

Chronicle is not liable for losses arising from unauthorized access to your account due to your failure to secure your credentials.

The Service

Chronicle provides a platform for [describe your core service here — e.g., "social media management, content scheduling, and analytics"]. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

What Chronicle Does Not Provide

  • Guarantees of uptime or error-free operation
  • Storage of your data indefinitely
  • Legal, financial, or professional advice
  • Outcomes from use of third-party platforms

License & Restrictions

Subject to your compliance with these Terms, Chronicle grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes.

You may not:

  • Copy, modify, distribute, sell, or sublicense any part of the Service
  • Reverse engineer, decompile, or attempt to extract source code
  • Use the Service to build a competing product or service
  • Scrape, crawl, or use automated means to access the Service without written permission
  • Remove or obscure any copyright, trademark, or proprietary notices
  • Use the Service to transmit harmful, illegal, or infringing content
  • Circumvent any rate limits, security measures, or access controls

User Content

You retain ownership of any content you create, upload, or share through Chronicle ("User Content"). By submitting User Content, you grant Chronicle a worldwide, royalty-free, non-exclusive license to host, store, transmit, and display your content as necessary to operate the Service.

You represent and warrant that your User Content does not violate any third-party rights, applicable laws, or these Terms. Chronicle does not endorse User Content and is not responsible for it. We reserve the right to remove User Content that violates these Terms.

Prohibited Content: You may not upload or transmit content that is unlawful, defamatory, harassing, infringing, misleading, or otherwise objectionable under applicable law or platform policies.

Google & Meta Platform Integrations

Chronicle offers optional integrations with Google and Meta (Facebook/Instagram) via OAuth 2.0. By connecting these accounts, you agree to the following additional terms.

Google Integration Terms

Your use of Chronicle's Google integration is subject to Google's Terms of Service and Privacy Policy. By connecting your Google account, you authorize Chronicle to access the specific Google API scopes disclosed during the OAuth consent screen.

  • Chronicle's use of Google user data complies with the Google API Services User Data Policy and the Limited Use requirements
  • We will not use Google user data for serving ads, profiling users, or any purpose not disclosed to you
  • Google may revoke Chronicle's API access at any time at their sole discretion
  • You may disconnect Google at any time via Settings → Connected Accounts or via your Google Account permissions page

Meta (Facebook / Instagram) Integration Terms

Your use of Chronicle's Meta integration is subject to Meta's Terms of Service, Platform Terms, and Developer Policies. By connecting your Meta account, you authorize Chronicle to access data via the Meta Graph API as disclosed during OAuth consent.

  • Chronicle operates as a Meta Platform developer and is bound by Meta's Platform Terms
  • Data received from Meta will only be used for the purposes disclosed in our Privacy Policy
  • Chronicle is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc.
  • Meta may change, restrict, or deprecate API access at any time; Chronicle is not liable for disruptions caused by Meta's platform changes
  • You may disconnect Meta at any time via Settings or via Facebook's Apps and Websites settings
Third-Party Platform Changes: Chronicle is not responsible for changes to Google's or Meta's APIs, terms, or policies. If a third-party platform changes its terms in a way that affects Chronicle's integration, we will notify you and, if necessary, adjust or discontinue the affected feature.

You are solely responsible for ensuring your use of Chronicle in connection with Google and Meta complies with those platforms' terms, including any restrictions on automated posting, data access, and commercial use.

Payment & Billing

Certain features of the Service require a paid subscription. By subscribing, you agree to pay the fees listed on our pricing page at the time of purchase.

  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are non-refundable except where required by law or as stated in our Refund Policy
  • Chronicle may update pricing with 30 days' advance notice; continued use constitutes acceptance
  • Failure to pay may result in suspension or termination of your account
  • You are responsible for all applicable taxes; Chronicle will collect taxes where required by law

Termination

Either party may terminate the agreement at any time. You may cancel your account via Settings → Account → Delete Account. Chronicle may suspend or terminate your access if you breach these Terms, engage in fraudulent activity, or violate applicable laws or third-party platform policies.

Upon termination, your license to use the Service ends immediately. We may retain certain data as required by law or for legitimate business purposes. Sections 05, 06, 10, 11, 12, and 13 survive termination.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Chronicle does not warrant that the Service will be uninterrupted, error-free, or free of viruses. Chronicle is not responsible for the availability or content of third-party services, including the Google and Meta platforms.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CHRONICLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Unauthorized access, use, or alteration of your data
  • Changes to or discontinuation of Google's or Meta's APIs or platform terms

IN NO EVENT SHALL CHRONICLE'S AGGREGATE LIABILITY EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID CHRONICLE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Chronicle, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your User Content, your violation of these Terms, or your violation of any third-party rights or platform policies (including those of Google and Meta).

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction in those courts.

For users in the European Union, nothing in these Terms affects your statutory rights as a consumer under applicable EU law, including the right to bring claims in your local courts.

Informal Resolution: Before filing a formal dispute, please contact us at legal@chroniclemc.com and allow 30 days for good-faith resolution.
